These Terms of Service govern the engagement, design, procurement, construction, and operation of solar energy systems provided by Upvoltage Solutions Private Limited.

1. Overview & Acceptance of Terms
These Terms of Service govern the use of website services and execution of solar projects provided by Upvoltage Solutions Private Limited ("Upvoltage", "we", "our", or "us").
By visiting our website at www.upvoltage.in, submitting an enquiry, requesting a quotation, engaging our services, accepting a proposal, issuing a purchase order, or entering into a solar project agreement, you agree to these Terms together with any project-specific quotation, proposal, or signed contract.
2. Scope of Services
Upvoltage provides turnkey solar energy and renewable energy solutions across India, including:
The specific scope of supply, equipment specifications, and commercial terms for each project shall be governed by the applicable written quotation, work order, or agreement.
3. Quotations & Proposals
All commercial quotations and engineering proposals issued by Upvoltage remain valid for the period specified in the quotation (typically 15 to 30 calendar days).
Quoted prices may be subject to revision prior to contract signing due to factors outside our direct control, including:
- Fluctuations in global solar module, inverter, copper cable, or structural steel prices.
- Revisions in GST rates, customs duties, import tariffs, or statutory taxes.
- Changes in customer specifications, site layouts, or structural enhancements.
- Modifications required by electricity distribution companies (DISCOMs) or electrical inspectorates.
4. Project Scope Variations
Projects will be executed in accordance with agreed drawings and specifications. Any additional civil work, structural reinforcement, cable trenching, or electrical equipment modifications requested by the customer or dictated by unforeseen site conditions will be documented as a Scope Variation and billed accordingly.
5. Payments & Milestone Schedules
Payments shall be remitted in accordance with the milestone schedule defined in the signed proposal or purchase order (e.g., Advance Booking, Equipment Delivery, Installation Completion, Commissioning).
Delayed payments may lead to temporary suspension of procurement or installation activities, adjustment of project completion schedules, or applicability of statutory interest where provided in commercial agreements.
6. Project Timelines & Execution
Upvoltage uses reasonable efforts to achieve agreed installation timelines. However, target completion dates depend on:
- Prompt provision of site access, work permits, and power supply for construction.
- Timely processing of utility net-metering approvals and DISCOM transformer line connections.
- Extreme weather conditions, monsoon delays, or supply-chain interruptions.
7. Equipment & OEM Warranties
Equipment supplied (solar modules, inverters, structures, cables) is covered by the respective Original Equipment Manufacturer (OEM) warranty terms (e.g. 25-year module performance warranty, 5–10 year inverter warranty).
Warranty Exclusions
Warranty coverage does not apply to damage caused by unauthorized third-party repairs, grid voltage surges beyond inverter tolerances, physical impact, lightning strikes without mandatory earthing, lack of cleaning maintenance, or natural disasters.
8. Generation Estimates & Financial ROI Disclaimer
Solar generation estimates, savings projections, carbon offset metrics, and payback period calculations provided in proposals are estimates based on standard solar irradiance databases, weather assumptions, and equipment performance ratings.
Actual energy yield varies depending on local weather patterns, seasonal cloud cover, dust accumulation, grid outages, and shading. Unless explicitly guaranteed under a formal Power Purchase Agreement (PPA) or Generation Guarantee clause, numerical estimates do not constitute a binding financial guarantee.
9. Customer Responsibilities
Customers agree to:
- Provide free, safe, and unhindered access to rooftop or project site areas for personnel and machinery.
- Supply accurate electricity bill data, single-line diagrams, and structural load details.
- Maintain site safety standards and prevent unauthorized tampering with installed solar assets.
10. Site Conditions
Where actual structural or soil conditions differ materially from information provided during preliminary survey, necessary structural enhancements or civil modifications will be executed following written customer confirmation.
11. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Upvoltage Solutions Private Limited shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue or production downtime, arising from solar system usage.
12. Force Majeure
Neither party shall be held responsible for non-performance or delay caused by events beyond reasonable control, including natural disasters, floods, extreme cyclones, war, civil unrest, grid blackouts, or government restrictions.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or proceeding arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
14. Modifications to Terms
Upvoltage reserves the right to update these Terms at any time. Revised versions will be published on this page with an updated effective date.
